Beschreibung

KfW requires legal advice regarding its banking and capital market activities in the United States of America (“USA”) or having a nexus to the USA. To this end, KfW seeks to conduct an agreement governed by German law for an initial period starting 1 June 2024 until 30 June 2028 with one law firm (or a group of law firms). KfW may initially prolongate the agreement up to a maximum term of around 6 years (30 June 2030) and thereafter, in consultation with the law firm) for any period of time. The advice sought comprises all matters regarding KfW`s capital market activities and activities related to it under US Law including, without limitation, all communication, statements and filings to be made with the SEC and other regulators and the conclusion of related agreements. Furthermore, advice on matters under the U.S. Securities Act of 1933, the U.S. Securities Exchange Act of 1934 and related US legislation as well as on all matters regarding KfW under applicable banking and financial regulatory law of the USA and its federal states may fall under the scope of this agreement.
